Introduction

These Terms of Use (referred to as the “Terms” or this “Agreement”) set out the terms and conditions governing your use of the Numerace platform and constitute a binding legal agreement between you and Numerace. 

In addition to these Terms, our Privacy Policy explains how we process personal information that we may collect when you use the Numerace platform and the steps we take to protect your privacy. 

IMPORTANT! LIKE ANY CONTRACT, IF YOU ARE UNDER THE AGE OF MAJORITY IN YOUR JURISDICTION, YOU MUST HAVE YOUR PARENT OR GUARDIAN READ THE AGREEMENT BELOW AND ACCEPT IT ON YOUR BEHALF. IF YOUR PARENT OR GUARDIAN DOES NOT READ AND ACCEPT THIS AGREEMENT, YOU DO NOT HAVE PERMISSION TO USE THE NUMERACE PLATFORM.

Acceptance of Terms

BY ACCESSING OR USING THE NUMERACE PLATFORM, YOU AGREE TO BE BOUND BY THIS AGREEMENT (ON BEHALF OF YOURSELF OR THE ENTITY THAT YOU REPRESENT) AND YOU REPRESENT THAT YOU HAVE THE RIGHT, AUTHORITY, AND LEGAL CAPACITY TO ENTER INTO THIS AGREEMENT (ON BEHALF OF YOURSELF OR THE ENTITY THAT YOU REPRESENT). IF YOU DO NOT AGREE WITH ALL OF THE PROVISIONS OF THIS AGREEMENT, YOU MUST NOT ACCESS OR USE THE NUMERACE PLATFORM.

Description of the Numerace platform

The Numerace platform provides engaging, team-based math competitions for classrooms and families several times each year. The platform provides teachers with a ready-to-use experience, including classroom setup, live scoring, and simple facilitation tools. In these Terms, the website, digital infrastructure, educational resources, and all related products made available through Numerace are collectively referred to as the “Numerace platform.”

User Eligibility

The Numerace platform is available to users of all ages. For children under 13 years of age, Numerace provides a restricted set of features that allows children to use the Numerace platform without creating an account.

Access and Use

5.1 License. Subject to your acceptance of and compliance with these Terms, Numerace grants you a limited, non-transferable, non-exclusive, and revocable license to access and use the Numerace platform only for your personal, noncommercial use on a computer or other device controlled by you.


5.2 Certain Restrictions. The rights granted under these Terms are subject to the restrictions below. You must not: 

(a) copy, reproduce, distribute, republish, download, display, post or otherwise transmit any component of the Numerace platform or any part thereof in any form or by any means, except where this license expressly permits it, 

(b) license, sell, rent, lease, transfer, assign, distribute, publish, host, otherwise exploit or make available the Numerace platform or any part thereof, to any third party for any purpose, including by making the Numerace platform or any part thereof available on a network where it is capable of being accessed by more than one device at any time; 

(c) modify, translate, adapt, create derivative works from, or make improvements to the Numerace platform or any part thereof, whether or not patentable; 

(d) disassemble, decode, decompile, reverse engineer, or otherwise try to derive or gain access to the source code of any part of the Numerace platform; 

(e) access or use the Numerace platform to develop a similar or competitive product, game or service; 

(f) remove, erase, modify, or conceal any trademarks or any copyright, trademark, patent, or other intellectual property or proprietary rights notices from the Numerace platform, including any copy thereof; or

(g) remove, disable, circumvent, or create or implement any workaround for any copy protection, rights management, or security features in or protecting the Numerace platform. Unless stated otherwise, all future updates or additions to the functionality of the Numerace platform will be subject to these Terms. 

All copyright and other proprietary notices on or in the Numerace platform must remain on every permitted copy.


5.3 Modification. Numerace reserves the right, at any time, to modify, suspend, or discontinue the Numerace platform (in whole or in part) with or without prior notice. You agree that Numerace will have no liability to you or any third party for any modification, suspension, or discontinuation of the Numerace platform or any part thereof.


5.4 Support or Maintenance. You acknowledge and agree that Numerace is not obligated to provide support or maintenance in connection with the Numerace platform.


5.5 Reservation of Rights. You acknowledge and agree that the Numerace platform is licensed to you and is not sold to you. You acquire no ownership interest in the Numerace platform under these Terms, or any other rights thereto other than to use the Numerace platform in accordance with these Terms. Neither these Terms (nor your access to the Numerace platform) conveys to you or any third party any rights, title or interest in or to such intellectual property rights, except for the limited access rights expressly set forth in the License above. Numerace and its suppliers reserve all rights not expressly granted in these Terms. No licenses are granted by implication under these Terms.

User Accounts

If you create an account on the Numerace platform, you are responsible for safeguarding your account and account data, and you are responsible for all activity carried out through your account. You must promptly notify Numerace of any unauthorized use of your data or account, or any other security breach. Numerace will not be responsible for your acts or omissions, including any damages of any kind incurred as a result of such acts or omissions. 

By using the Numerace platform, you represent and warrant that:

(1) all registration information you submit is true and accurate;

(2) you will keep that information accurate; and

(3) your use of the Numerace platform will not violate any applicable law or regulation.

Acceptable Use Policy

By accepting these Terms, you agree that you will not:

Upload, transmit, display, post, publish, or distribute any materials or content of any kind: (i) that is unlawful, offensive, harassing, libelous, defamatory, abusive, fraudulent, infringing, threatening, tortious, vulgar, misleading, discriminatory, obscene, hateful, trade libelous, harmful, pornographic, harmful to minors or otherwise objectionable or inappropriate; (ii) that violates any third party right, including any trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other right of any kind; (iii) that is in violation of any law, regulation, obligation or restriction imposed by any third party; or (iv) that consists of or includes, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other unsolicited messages in each case as determined by Numerace in its sole discretion.

Engage in fraudulent conduct or transactions.

Prevent or attempt to prevent any other user’s use and enjoyment of the Numerace platform.

Interfere with our ability to provide the Numerace platform to users.

Obtain or attempt to obtain unauthorized access to the Numerace platform, other computer systems or networks connected to or used together with the Numerace platform including through software, malicious code, viruses, spyware, worms, Trojan horses and other methods.

Upload, transmit, or distribute through the Numerace platform or otherwise, any computer viruses, worms, or any software designed to damage, disrupt, or modify a computer system or data;

Take any action that places an unreasonable burden on servers or networks used by or connected to the Numerace platform or violate the regulations, policies or procedures of such networks;

Harvest, collect, gather, or use automated or manual methods to obtain information or data regarding other users.

Use software, agents, scripts or other methods of automatic or manual collection of information in connection with the Numerace platform to conduct automated searches, requests and queries, or to strip, scrape, or mine data from the Numerace platform (except that we grant the operators of public search engines revocable permission to use spiders to copy materials from the Numerace platform).

Impersonate another user or a Numerace representative and make false reports using the Numerace platform.

You alone are responsible for your interactions with other users when using the Numerace platform. We have the right, but not the obligation, to take appropriate action against you in our sole discretion if you violate this Section or any other provision of these Terms or otherwise create liability for us or any other person. Such measures may include terminating your account, if applicable, or referring the matter to law enforcement.

Intellectual Property

The Numerace platform, including all of its contents, features, and functionality (including, without limitation, the website, mobile application, software, text, data, graphics, illustrations, code, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Numerace, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Indemnification

You agree to defend, indemnify, and hold harmless Numerace (and its officers, employees, directors, affiliates, licensors, agents, successors and assigns) from and against all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of every kind, including costs and attorneys’ fees, arising from any third-party claim or demand relating to

(a) your use of the Numerace platform,

(b) your violation of these Terms, or

(c) your violation of applicable laws or regulations. Numerace may, at your expense, assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate in our defense of those claims. You agree not to settle any matter without the prior written consent of Numerace. Numerace will make reasonable efforts to notify you of any such claim, action or proceeding upon becoming aware of it.

Release

This Agreement remains in effect for as long as you use the Numerace platform. Numerace may terminate this Agreement or suspend your access to the Numerace platform at any time, including in the event of your actual or suspected misuse or unauthorized use of the Numerace platform or related resources, or non-compliance with the Agreement. If you or Numerace terminate the Agreement, or if Numerace suspends your access to the Numerace platform in accordance with the Agreement, you agree that Numerace will have no liability or responsibility to you.

Disclaimers

THE NUMERACE PLATFORM IS PROVIDED TO YOU “AS-IS” AND WITH ALL FAULTS AND DEFECTS WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, NUMERACE, ON ITS OWN BEHALF AND ON BEHALF OF ITS AFFILIATES AND ITS AND THEIR RESPECTIVE LICENSORS AND SERVICE PROVIDERS, EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, WITH RESPECT TO THE NUMERACE PLATFORM, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT AND NON-INFRINGEMENT, AND WARRANTIES THAT MAY ARISE OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE, OR TRADE PRACTICE. WITHOUT LIMITING THE FOREGOING, NUMERACE GIVES NO WARRANTY OR UNDERTAKING, AND MAKES NO REPRESENTATION OF ANY KIND THAT THE NUMERACE PLATFORM WILL MEET YOUR REQUIREMENTS, ACHIEVE ANY INTENDED RESULTS, BE COMPATIBLE, OR WORK WITH ANY OTHER SOFTWARE, GAMES, APPLICATIONS, SYSTEMS, OR SERVICES, OPERATE WITHOUT INTERRUPTION, MEET ANY PERFORMANCE OR RELIABILITY STANDARDS, OR BE ERROR-FREE, ACCURATE, RELIABLE, FREE FROM HARMFUL CODE, COMPLETE, LEGAL, SAFE, AVAILABLE ON AN UNINTERRUPTED BASIS OR THAT ANY ERRORS OR DEFECTS CAN OR WILL BE CORRECTED.

CERTAIN JURISDICTIONS DO NOT PERMIT THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU. CERTAIN JURISDICTIONS DO NOT PERMIT LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NUMERACE, ITS OFFICERS, MEMBERS, EMPLOYEES, AGENTS, DIRECTORS, SUBSIDIARIES, AFFILIATES, SUCCESSORS, ASSIGNS, SUPPLIERS, OR LICENSORS BE LIABLE FOR (1) ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES; OR (2) ANY LOSS OF USE, DATA, BUSINESS, OR PROFITS (WHETHER DIRECT OR INDIRECT), IN ALL CASES ARISING OUT OF THE USE OR INABILITY TO USE THE NUMERACE PLATFORM, THIRD-PARTY APPLICATIONS, OR THIRD-PARTY APPLICATION CONTENT, REGARDLESS OF THE LEGAL THEORY AND WHETHER OR NOT NUMERACE HAS BEEN MADE AWARE OF THE POSSIBILITY OF THOSE DAMAGES, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. NOTHING IN THIS AGREEMENT EXCLUDES OR LIMITS NUMERACE’S LIABILITY FOR FRAUD, FRAUDULENT MISREPRESENTATION, INTENTIONAL OR GROSS FAULT, BODILY OR MORAL INJURY, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Modifications to Terms

We may revise these Terms from time to time, including provisions concerning access to and use of the Numerace platform, user accounts, acceptable use, User Content, intellectual property, disclaimers, limitations of liability, and the administration of the Numerace platform. If we make material changes, we will notify you by sending you an email to the last email address you provided to us (if any), or by posting a prominent notice of the changes to the Numerace platform, at least 30 calendar days before the changes take effect. Where required by applicable law, the notice will set out the new or amended clause, its previous wording, the date on which the change takes effect, and your right to refuse the change and terminate this Agreement without cost, penalty, or cancellation indemnity if the change increases your obligations or reduces Numerace’s obligations. These changes will be effective immediately for new users of the Numerace platform. Your continued use of the Numerace platform after the changes take effect constitutes your acknowledgement of and agreement to the changes, except where applicable law requires your express consent or provides otherwise.

Termination

This Agreement begins when you first use the Numerace platform. Subject to this Section and applicable law, these Terms will continue in full force and effect while you use the Numerace platform. We may suspend or terminate your rights to use any or all portions of the Numerace platform (including your account) at any time for any reason, in our sole discretion, including if we decide to discontinue support for the Numerace platform or for any use of the Numerace platform in violation of these Terms. Where required by applicable law, we will provide advance notice of termination. Upon termination of your rights under these Terms, your account and right to access and use the Numerace platform will end immediately. You understand that any termination of your account may result in deletion of information associated with your account from our live databases. To the fullest extent permitted by applicable law, Numerace will have no liability to you for any termination of your rights under these Terms, including for termination of your account or deletion of your account history or purchases.

Even after your rights under these Terms are terminated, the following provisions of these Terms will survive: Sections 4.2–4.5 and 5 through 16. Termination of this Agreement will not limit any of Numerace’s rights or remedies at law or in equity.

Miscellaneous

15.1 Entire Agreement. These Terms of Use, together with our Privacy Policy, form the entire agreement between you and Numerace regarding your use of the Numerace platform and replace all prior agreements, communications, or understandings. If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.

15.2 Dispute Resolution and Governing Law.

(a) Informal Dispute Resolution. Before starting legal proceedings, the party raising a claim or dispute must first provide the other party with a written Notice of Dispute (“Notice”) describing the nature and grounds of the claim or dispute and the relief sought. A Notice to Numerace should be sent to Numerace, Attn: Terms of Use Dispute, at the address listed in Section 16 (or to another address Numerace may designate for this purpose). After receiving the Notice, you and Numerace will make reasonable efforts to resolve the claim or dispute informally. If you and Numerace do not resolve the claim or dispute within 30 days after the Notice is received, either party may commence legal proceedings.

(b) Optional Mediation or Arbitration. After a dispute has arisen, you and Numerace may mutually agree in writing to resolve it through mediation or arbitration. Nothing in these Terms requires a consumer to submit a dispute to arbitration, restricts a consumer’s right to go before a court, prohibits a consumer from bringing a class action, or prevents a consumer from being a member of a group bringing a class action.

(c) Governing Law. These Terms of Use and any disputes arising under or relating to them will be governed by and interpreted in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. If you are a consumer, this choice of law does not deprive you of any protection afforded by mandatory provisions of the law applicable to you.

(d) Courts. Subject to applicable mandatory law, the parties submit to the jurisdiction of the courts of Quebec sitting in the judicial district of Montréal. Nothing in this Section limits any jurisdiction, right, or remedy that cannot lawfully be waived or restricted.

15.3 Electronic Communications. Communications between you and Numerace may be electronic, whether you access the Numerace platform, email us, receive notices posted on the Numerace platform, or Numerace communicates with you by email. For contractual purposes, you (a) agree to receive communications from Numerace in an electronic form; and (b) agree that all terms and conditions, agreements, notices, disclosures, and other communications that Numerace provides to you electronically satisfy any legal requirement that would apply if those communications were provided in writing. This does not affect your non-waivable rights.

15.4 Language. A French version of these Terms is available. If the French version has been provided to you and you choose to be bound by the English version, you expressly request that these Terms and the related documents be drawn up in English. Both versions are intended to have the same meaning. Nothing in this Section limits any language right that cannot lawfully be waived.
